HireNest Terms of Service
This Service Agreement governs the use of HireNest’s remote hiring platform, AI-enabled services, and operational support offerings.
- HireNest provides global remote talent and AI-enabled services.
- Pricing is role-based, experience-based, and billed monthly.
- HireNest manages sourcing, screening, and platform operations.
- Clients are responsible for lawful use and cooperation.
- These Terms form a binding commercial agreement.
1. Scope & applicability
These Terms apply to all users, clients, and entities accessing HireNest services, including remote talent hiring, AI agent configuration, automation setup, consulting, and ongoing operational support.
2. Definitions
- Client — any company or legal entity engaging HireNest services.
- Talent — remote professionals sourced or managed through HireNest.
- AI Agents — automation systems, workflows, or integrations configured by HireNest.
- Services — all hiring, AI, platform, and advisory offerings.
- Subscription — recurring monthly service arrangement.
3. Service model
HireNest operates as a managed hiring and operations platform. HireNest sources, screens, and manages access to remote talent and AI systems but does not guarantee specific business outcomes.
4. Talent classification
Talent provided through HireNest may be contractors or third-party professionals. HireNest is not the employer of record unless explicitly stated in writing.
5. Client responsibilities
- Provide accurate role requirements.
- Engage in timely communication.
- Use services lawfully and ethically.
- Refrain from soliciting talent outside HireNest.
6. Pricing & billing
Pricing is determined by role type, experience level, difficulty, language requirements, and service scope. All subscriptions are billed monthly in advance unless otherwise agreed.
- Invoices issued monthly.
- Late payments may suspend services.
- No refunds for partial months.
7. Replacement policy
HireNest may provide replacement talent within a defined replacement window, subject to client cooperation and reasonable performance standards.
8. Confidentiality
Both parties agree to protect confidential information, including client data, candidate data, internal processes, and pricing structures.
9. Data protection
HireNest applies commercially reasonable security measures and aligns with applicable data protection laws, including GDPR where relevant.
10. Intellectual property
AI workflows, configurations, automation logic, and platform systems remain the intellectual property of HireNest unless explicitly transferred in writing.
11. Acceptable use
- No illegal activities.
- No spam or deceptive outreach.
- No misuse of AI systems.
- No unauthorized system access.
12. Termination
Either party may terminate services with notice in accordance with the billing cycle. Upon termination, access to systems and talent concludes.
13. Limitation of liability
HireNest is not liable for indirect damages, loss of profits, AI output errors, or third-party system failures. Liability is capped to fees paid in the preceding billing period.
14. Force majeure
Neither party is liable for delays caused by events beyond reasonable control.
15. Governing law
These Terms are governed by the laws of the jurisdiction in which HireNest LLC is registered.
